Terms and Conditions

1. Acceptance of Terms

By accessing and using the Emizhi Digital website and services, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. Services

Emizhi Digital provides technology consulting, software development, AI solutions, and related digital services. The scope, deliverables, and timelines for specific projects will be defined in separate service agreements.

3. Intellectual Property

Website content: All content on this website — including text, graphics, logos, tools, and software — is the property of Emizhi Digital Private Limited and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written permission.

Client deliverables: Upon receipt of full payment for an engagement, all bespoke deliverables produced for the client under that engagement — including audit reports, architectural recommendations, roadmaps, and any custom code written exclusively for the client — are assigned to the client. Ownership transfers only on full payment; work product created prior to full payment remains the property of Emizhi Digital.

Retained rights: Notwithstanding the above, Emizhi Digital retains the right to use generalised, anonymised learnings, frameworks, and methodologies derived from any engagement for internal development, research, and future client work, provided no confidential or identifying information of the client is disclosed.

Third-party components: Where deliverables incorporate open-source libraries, third-party tools, or licensed software, those components remain governed by their respective licences. We will disclose any such dependencies in the relevant deliverable.

4. User Responsibilities

• Provide accurate and complete information
• Maintain the confidentiality of account credentials
• Use our services in compliance with applicable laws
• Not engage in any activity that could harm our systems or reputation

5. Payment Terms

Payment terms for services will be specified in individual service agreements. All fees are non-refundable unless otherwise stated in our Refund Policy.

6. Limitation of Liability

Emizhi Digital shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, to the maximum extent permitted by law.

7. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kochi, Kerala.

8. Confidentiality

Both parties acknowledge that in the course of an engagement, each may receive or have access to information that is confidential or proprietary to the other party ("Confidential Information").

Our obligations: Emizhi Digital will not disclose, share, or use your Confidential Information for any purpose other than performing the agreed services. We will apply reasonable care to protect it — no less than we apply to our own confidential material.

Your obligations: You agree not to disclose our proprietary methodologies, diagnostic frameworks, pricing structures, or internal tools to third parties without our prior written consent.

Exclusions: These obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party before disclosure; (c) is independently developed without reference to the Confidential Information; or (d) is required to be disclosed by law or a competent authority, provided the disclosing party is notified promptly where legally permitted.

Duration: Confidentiality obligations survive termination of any engagement and continue for a period of three (3) years thereafter. We are happy to execute a separate NDA for engagements where either party requires more specific confidentiality terms.
